Company ID (IČO): 23242604
Email: info@kelynda.com
Web: kelynda.com
These terms of service (the “Terms”) govern the mutual rights and obligations between the provider and the client when ordering and delivering web services.
2. Formation of the contract
Neither the client’s enquiry nor the provider’s quotation constitutes a contractual relationship in itself — both are non-binding communication prior to entering into a contract.
A contract is formed in one of the following ways:
- By sending an order — on the basis of the quotation the client sends a written order (by email or as a signed document), which the provider confirms
- By signing a contract — both parties conclude and sign a contract for work or other contractual documentation
A quotation is non-binding and valid for 14 days from the date it was sent, unless expressly stated otherwise.
3. Subject of the contract
The subject of the contract is the creation, redesign or maintenance of a website. The specific scope of work is set out in the order confirmed by both parties, or directly in the contract for work. A quotation serves only as a basis for the client’s decision and does not form part of the contract.
4. Price and payment terms
- The price is set individually according to the scope of the project and agreed in the order or contract.
- As standard, a deposit of 50 % of the price is required before work begins; the balance is payable on handover of the completed work.
- Payment is made by bank transfer against an invoice with a 14-day due date.
- I am not registered for VAT; the prices stated are final.
5. Deadlines and delivery
- The completion date is set in the order or contract and runs from payment of the deposit and delivery of materials by the client.
- The client undertakes to supply the necessary materials (texts, photographs, access credentials) by the agreed date. Delay on the client’s side extends the delivery date.
- The completed work is handed over by making it available to the client (deployment to a server or handover of access credentials).
6. Approval process and changes
- The client has the right to comment on results during delivery. 2 rounds of revisions are included in the agreed price.
- Larger changes beyond the original specification are subject to separate agreement and may be charged for.
7. Intellectual property rights
- Upon full payment of the agreed price, a non-exclusive licence to use the delivered work passes to the client.
- The client may use the source code, graphic designs and other outputs for the purposes of their business.
- The provider reserves the right to list the delivered website in their portfolio (references), unless the client expressly requests otherwise.
8. Liability and warranties
- The provider is liable for defects in the work caused on their side. Defects may be reported within 6 months of handover.
- The provider is not liable for outages of third parties (hosting, domain registrar, payment gateways).
- Total liability for damages is limited to the price of the agreed project.
9. Personal data protection
The processing of personal data within the contractual relationship is governed by the Privacy policy.
10. Governing law and dispute resolution
These Terms are governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll. (the Civil Code). Any disputes will primarily be resolved by agreement; failing agreement, the competent court of the Czech Republic will decide.
11. Final provisions
These Terms are valid and effective from June 2026. The provider reserves the right to amend them and will inform clients of changes by email or by publishing a new version on this website. Contracts concluded before a change are governed by the Terms in force at the time they were concluded.
